Cementos Molins has acquired the German company Calucem for 150 million euros after closing an agreement with Ambienta, one of the largest European sustainable investment funds.

With this operation, Molins becomes the second largest producer of calcium aluminate cement in the world, a material with which the company began its activity in 1928, as explained in a statement to the National Securities Market Commission (CNMV).

The purchase allows the Catalan company to expand its offer of construction solutions, while boosting its international development and advancing its sustainable growth strategy.

Today, Cementos Molins operates in nine countries and on four continents (Asia, Europe, Latin America and Africa) and has an international team of 5,000 employees.

The CEO of the Catalan company, Julio Rodríguez, considers that the purchase is a "great strategic step" that will allow them to create "a platform focused on innovation, sustainability and global growth to expand our activity in the sector."

Calucem, based in Mannheim (Germany), offers a wide variety of solutions for the construction chemicals market, and is known for its innovation capacity to reduce CO2 emissions. Currently, it has 180 employees and sales of 58 million euros, with an EBITDA of 16 million euros during the last twelve months.

In addition, it has a production plant in Pula (Croatia), which has its own port from which it distributes its products to customers in more than 60 countries. It also has an innovation center in Germany, as well as offices and logistics centers in Europe, the United States and Asia. Now, everything will be owned by Molins.

The CEO of Calucem, Yuri Bouwhuis, believes that the purchase "will create more value" for its customers, and says he is "excited to continue the development of the company as part of Cementos Molins."

The closing of the operation, scheduled for the last quarter of 2021, is subject to the approval of regulatory authorities. Until then, both companies will continue to operate independently.

Cementos Molins has relied on Evercore as strategic and financial advisor, the Barcelona law firm Cuatrecasas as legal and tax advisor, Deloitte as consultant for the due diligence investigation, and Marsh McLennan as insurance advisor.
